1. Introduction

These terms and conditions govern your use of the Critical Ventilation Solutions website and the services we provide. By accessing our website or engaging our services you agree to be bound by these terms. Please read them carefully.

Critical Ventilation Solutions is a specialist ventilation company providing HVAC commissioning, cleanroom validation, clean air device certification and related services to healthcare, pharmaceutical and cleanroom facilities worldwide.

2. Our Services

Critical Ventilation Solutions provides specialist ventilation services including but not limited to:

• HVAC commissioning, maintenance and compliance
• Cleanroom design, validation and certification
• Clean air device validation and certification
• Operating theatre validation and verification
• HTM 03-01 compliance and testing
• LEV testing
• Independent witnessing services
• Site surveys and feasibility studies

All services are subject to a separate written agreement or proposal agreed between Critical Ventilation Solutions and the client prior to commencement of work.

3. Quotations and Proposals

• All quotations and proposals are valid for 30 days from the date of issue unless otherwise stated
• Quotations are based on the information provided at the time of enquiry and may be subject to change if the scope of work changes
• Acceptance of a quotation constitutes agreement to these terms and conditions
• Critical Ventilation Solutions reserves the right to withdraw or amend a quotation at any time prior to acceptance

4. Payment Terms

• Payment terms will be outlined in the project proposal or agreement
• Invoices are due for payment within 30 days of the invoice date unless otherwise agreed in writing
• Critical Ventilation Solutions reserves the right to charge interest on overdue invoices in accordance with the Late Payment of Commercial Debts (Interest) Act 1998
• We reserve the right to suspend services in the event of non payment

5. Cancellations and Postponements

All cancellations or requests to reschedule must be submitted in writing by email. If no acknowledgement is received within 24 hours, please follow up by telephone.

Once service dates have been confirmed, resources are allocated and scheduled accordingly. The following cancellation charges may apply:

• 25% of the validation cost for cancellations made with less than 7 days notice
• 50% of the validation cost for cancellations made with less than 3 days notice
• 100% of the validation cost for cancellations made on the scheduled service date or upon engineer arrival on site

Critical Ventilation Solutions Ltd reserves the right to postpone or reschedule services in exceptional circumstances and will provide reasonable notice wherever possible.

Standard working hours are 9:00am to 5:00pm, Monday to Friday (8 hours per day). In certain circumstances, work may be completed over two days due to urgent customer call-outs or operational requirements.

Additional charges may apply if scheduled works cannot be completed on the agreed date due to circumstances beyond the control of Critical Ventilation Solutions Ltd, including but not limited to ongoing works at the customer’s premises, customer supplied equipment being unavailable, unsuitable or delivered late, or any other site related delays or disruptions.

A re-test fee will apply where validation cannot be completed due to equipment failure or site conditions that do not meet the required standard, including but not limited to FFU failures, inadequate cleaning or failure to achieve the required as-built classification standard.

6. Client Responsibilities

The client agrees to:

• Provide accurate and complete information relevant to the services being carried out
• Ensure safe and appropriate access to the site and relevant equipment at the agreed time
• Inform Critical Ventilation Solutions of any site specific health and safety requirements prior to commencement
• Ensure all relevant personnel are available as required during the delivery of services
• Review and approve any documentation or reports within a reasonable timeframe

7. Deliverables and Reports

• All validation reports, commissioning documentation and compliance certificates produced by Critical Ventilation Solutions remain the intellectual property of Critical Ventilation Solutions until payment has been received in full
• Reports are produced based on the findings at the time of testing and reflect the condition of the system on the date of the visit
• Critical Ventilation Solutions accepts no responsibility for changes to system performance following the completion of a visit

8. Liability

• Critical Ventilation Solutions will carry out all services with reasonable skill and care in accordance with industry standards
• Our liability to you in connection with any services shall not exceed the total fees paid for the specific services giving rise to the claim
• We accept no liability for indirect, consequential or special losses arising from the provision of our services
• Nothing in these terms limits our liability for death or personal injury caused by our negligence or for fraud or fraudulent misrepresentation

9. Insurance

Critical Ventilation Solutions holds appropriate professional indemnity and public liability insurance. Details are available upon request.

10. Confidentiality

Both parties agree to keep confidential any information disclosed during the course of the engagement that is identified as confidential or that would reasonably be considered confidential in nature. This obligation continues after the completion of the services.

11. Data Protection

Critical Ventilation Solutions processes personal data in accordance with UK GDPR. Please refer to our Privacy Policy at criticalventilationsolutions.co.uk for full details of how we collect, use and store your data.

12. Intellectual Property

All content on the Critical Ventilation Solutions website including text, images, logos and graphics is the intellectual property of Critical Ventilation Solutions and may not be reproduced without prior written permission.
